Starting a company in Colorado
Domestic LLC filing fee
$50.00 for Colorado LLC Articles of Organization. The filing is primarily online through the entity record/business portal; Colorado's public forms page does not list a separate paper price for the standard formation because paper forms are generally unavailable for many filings. The document must include a compliant name, principal office, registered agent, and organizer information.
Domestic corporation filing fee
$50.00 for Colorado profit-corporation Articles of Incorporation under the standard fee schedule. Authorized shares and classes must be stated in the charter, but the SOS formation fee is not presented as a per-share surcharge. Nonprofit formation uses a separate form and may have a different fee treatment.
Registering a company formed elsewhere
For state registration, “foreign” can mean a company formed in another U.S. state. These fees are separate from creating a new Colorado entity.
Foreign LLC qualification
$100.00 for a foreign LLC Statement of Foreign Entity Authority. The filing identifies the foreign jurisdiction, Colorado registered agent, principal office, and other required information. The foreign LLC then files the same $25.00 annual periodic report as other reporting entities and must maintain a Colorado street address for service.
Foreign corporation qualification
$100.00 for a foreign corporation Statement of Foreign Entity Authority under the standard Colorado business-organization fee structure. The foreign corporation must designate a Colorado registered agent and provide jurisdiction and principal-office data. It remains subject to annual periodic reporting and any separate Colorado tax obligations.
Colorado processing times
Colorado online filings commonly process immediately or shortly after submission when the form is complete and accepted. The SOS does not promise that every filing is instantaneous; a rejected document requires correction and resubmission. Entity status and the filed document are the authoritative evidence of formation.
Expedited filing options
Colorado's reviewed business forms and fee materials do not publish a general 24-hour or same-day expedite tier for ordinary entity formation. Online filing is the principal speed option. Any third-party rush service is not a Colorado SOS expedite and should not be represented as one.
