Florida requires a registered agent with a Florida street address where service can be delivered during normal business hours. An individual resident or eligible Florida-authorized business entity may serve; the agent must consent and remain reachable. The registered-agent name and address are public on Sunbiz. A P.O. box alone is insufficient, and commercial agents must maintain their statutory status.
Florida agent changes: forms and fees
Florida LLC registered-agent change is $25.00; corporate change is $35.00. Use the Sunbiz entity-management or annual-report workflow and the statutory change form: https://dos.fl.gov/sunbiz/manage-business/change-registered-agent/. The new agent must accept the role and have a Florida physical service address.
Resignation, notice, and effective dates
Florida LLC registered-agent resignation is $85.00 for an active LLC or $25.00 for a dissolved LLC. Corporate resignation is $87.50 for an active corporation or $35.00 for an inactive corporation. The agent must file the resignation and provide statutory notice; resignation does not appoint a replacement, and the entity must designate a valid successor or risk substitute service and dissolution.
Consequences of a missing agent or address
Failure to maintain a Florida registered agent can cause missed service of process, default judgments, administrative dissolution, and loss of the ability to defend or enforce rights. Florida offers substitute service on the Department in limited circumstances for $8.75, but that is an emergency statutory mechanism, not a substitute for a current agent and Florida street address.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
