Louisiana requires every business registration to name an agent with a physical Louisiana address. The agent may be almost any person of legal age and legal Louisiana resident, or an eligible authorized business entity; the street address and agent name are public. A P.O. box alone is inadequate. The agent must receive service, notices, and demands and remain current throughout the entity's life.
Louisiana agent changes: forms and fees
Louisiana Form #983 for an LLC change of registered office or agent and Form #502 for a corporation statement of change are generally $25.00. Use https://www.sos.la.gov/business-services/forms-fee-schedule or geauxBIZ. The replacement agent must have a Louisiana physical address and consent; confirm acceptance before directing service to the new address.
Resignation, notice, and effective dates
Louisiana charges $25.00 for agent or officer resignation, appointment, or change under the statutory fee schedule. A resigning agent must follow the statutory notice and effective-date process and does not appoint a successor. The entity must promptly name another qualifying Louisiana agent or risk failed process, notice-of-intent action, revocation, and dissolution.
Consequences of a missing agent or address
An entity without a Louisiana registered agent or physical office can miss process and state notices, suffer default judgments, lose good standing, and face revocation or administrative dissolution. The Secretary can be involved in limited statutory service procedures, but that does not replace the entity's continuing appointment duty or prevent the costs of cure.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
