Domestic LLC

Massachusetts LLC Certificate of Organization costs $500.00. The filing must state the name, resident agent and office, general character of business, management, and other Massachusetts Limited Liability Company Act information. The annual report is also $500.00, making the first-year state filing burden substantial; no separate authorized-share surcharge applies to an LLC.

Domestic corporation

Massachusetts business corporation Articles of Organization cost $275.00 minimum for up to 275,000 authorized shares, plus $100.00 for each additional 100,000 shares or portion. The corporation must state authorized shares, resident agent and office, incorporators, and purpose. The share-based organization fee is in addition to any tax or local registration obligation.

Standard turnaround

Massachusetts electronic filing is generally faster than mail; CID/PIN filings can return electronic documents after state review. The public fee pages do not promise one universal business-day standard for every filing. A completed submission and payment do not guarantee acceptance if the name or statutory content is deficient.

The filing must state the name, resident agent and office, general character of business, management, and other Massachusetts Limited Liability Company Act information. The annual report is also $500.00, making the first-year state filing burden substantial; no separate authorized-share surcharge applies to an LLC.

The corporation must state authorized shares, resident agent and office, incorporators, and purpose. The share-based organization fee is in addition to any tax or local registration obligation.
Foreign qualificationLLC: Massachusetts foreign LLC registration costs $500.00. The foreign LLC must file the application for registration, provide home-jurisdiction existence information, a Massachusetts resident agent and office, and the business information required by the LLC statute. Foreign annual reports are also $500.00 and foreign withdrawal is listed at $100.00.
Corporation: Foreign Massachusetts corporations file an application for certificate of authority using the Corporations Division fee schedule; the accessible 2026 extract did not show one complete amount in the search output. A home-state certificate, Massachusetts resident agent and office, corporate name, authorized-share information, and the current filing fee are required.
Recurring maintenanceLLC: Massachusetts LLC annual reports are due on or before the anniversary date of the original Certificate of Organization and cost $500.00. The report updates resident agent, office, managers or members, and business information. Missing the report can lead to administrative revocation and reinstatement costs; an annual report is separate from Massachusetts tax returns.
Corporation: Massachusetts corporations file annual reports by the anniversary date. The current fee is $125.00, or $150.00 if not timely filed; the public fee page notes $100.00 for timely electronic annual-report filing. The report updates officers, directors, shares, agent, and office and is separate from Massachusetts corporate excise tax.
Registered agentA Massachusetts resident agent must have a Massachusetts registered office and be an eligible individual or authorized entity able to receive service. The agent and office are public. A P.O. box alone is insufficient. Massachusetts uses the term resident agent for many corporations and LLCs, and the appointment must remain current for service, notices, and good standing.

Formation is the beginning, not the compliance plan

The cheapest formation route is not always the simplest operating route. Before filing, confirm the name standard, statutory agent requirements, authorized-share or member information, local licensing, tax registrations, and any professional-entity restrictions that apply to the planned activity.

After formation, calendar the first report or statement immediately. A newly created entity may have a first-year exception, an anniversary-month due date, a quarterly filing window, or a separate tax obligation. Treat the agency record, revenue department account, and local license file as related—but separate—workstreams.

How to use the official record responsibly

Save the entity ID, legal name, status, registered agent and office, formation or qualification date, and the most recent filed document. When a third party asks for “proof,” ask whether it needs a current certificate, certified charter, tax clearance, apostille, or a plain search result. Those are different documents with different evidentiary value.
