New York corporations and many LLCs use the Secretary of State as statutory agent for service of process, with a forwarding address maintained by the entity. A corporation may also have an appointed agent where statute permits. The service address is public and must be kept current; failure to update forwarding information can cause missed lawsuits even though the Secretary receives process.
New York agent changes: forms and fees
New York service-of-process forwarding-address and agent changes use the applicable DOS certificate; fees range from $5.00 or $30.00 for statutory changes to $60.00 for resignation of registered agent. Use https://dos.ny.gov/corporations and the entity record. Confirm whether the filing updates the Secretary's forwarding address, a separately appointed agent, or both.
Resignation, notice, and effective dates
New York's current schedule lists $60.00 for resignation for receipt of process. The resigning agent must comply with statutory notice/effective-date requirements; the Secretary may remain statutory agent for entities covered by the statute, but a forwarding address must be maintained. A private agent's resignation does not itself update the entity's public service information.
Consequences of a missing agent or address
Failure to maintain a New York service address or legally required agent can cause missed process, default judgments, suspension, loss of good standing, inability to sue, and dissolution/cancellation. Service on the Secretary is statutory for covered entities but does not guarantee that forwarding notices reach the business.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
