A Rhode Island registered agent must be an individual resident of Rhode Island or an incorporated entity qualified to do business there. The agent must maintain a Rhode Island street address and be available during normal business hours; P.O. boxes, shipping addresses, and virtual addresses alone are not permitted. Rhode Island agent changes: forms and fees
LLC agent changes use Form 642 and corporation changes use Form 640, linked from https://www.sos.ri.gov/divisions/business-services/ri-business/maintain-a-registered-agent. File the change promptly with the current statutory fee shown on the form and verify the public record after acceptance.
Resignation, notice, and effective dates
A Rhode Island agent resigns through the entity-specific statutory form, with notice to the entity and an effective date governed by the filing statute. Form 642 applies to LLCs and Form 640 to corporations; the current resignation fee and notice mechanics must be confirmed on the live form, and resignation does not appoint a successor.
Consequences of a missing agent or address
An entity without a qualifying Rhode Island agent or office can miss service, suffer default, lose good standing, and enter revocation proceedings. The Secretary of State may use statutory substitute-service mechanisms in limited situations, but that does not cure the continuing appointment duty.

Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
