Virginia requires every registered company to maintain a Virginia registered agent and registered office. The agent must be an eligible Virginia resident or authorized business entity with a physical Virginia address and availability for service; the agent and office are public and annual notices are sent there.
Virginia agent changes: forms and fees
Virginia LLC1016 changes the registered office or agent with no fee. Corporation agent/office changes use the SCC form and current fee schedule; file through https://www.scc.virginia.gov/businesses/forms-and-fees/ and verify the public CIS record.
Resignation, notice, and effective dates
Virginia LLC1017 resignation is no fee; corporate resignation follows the SCC statutory form and current fee schedule. The agent must give the entity required notice and observe the effective date; resignation does not appoint a successor, so the entity must act promptly.
Consequences of a missing agent or address
A Virginia entity without a registered agent or office can miss process, lose annual notices, be canceled/terminated or have foreign authority revoked, and lose good standing. Limited substitute service does not replace the continuing appointment and physical-office requirement.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
