Wyoming permits an individual resident of Wyoming or a domestic/foreign business entity authorized in Wyoming to act as registered agent. The agent must maintain a physical Wyoming address; a drop box is not acceptable and a P.O. box may be listed only in addition to the physical address. Commercial agents representing more than ten entities must register.
Wyoming agent changes: forms and fees
Wyoming's Appointment of New Registered Agent and Office form carries a $5 filing fee per entity. File through WyoBiz/forms, ensure the replacement qualifies and consents, and verify the public record after acceptance.
Resignation, notice, and effective dates
Wyoming Statement of Resignation or Statement of Resignation with Successor Appointed costs $5 per entity. A commercial agent must follow the statutory notice/effective process; commercial-agent registration renews annually, with late commercial-agent renewal potentially causing a $500 fee plus administrative charges per represented entity.
Consequences of a missing agent or address
An entity without a Wyoming registered agent or physical office can miss service, lose good standing, be administratively dissolved, and face a $350 LLC or $250 profit-corporation reinstatement charge for the no-agent condition. Substitute service does not replace the continuing appointment requirement.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
