Each Indiana entity must continuously maintain a registered agent and registered office in Indiana. The agent may be an individual or an authorized business service with a physical Indiana address where service can be received; the name and address are public record. INBiz permits commercial and noncommercial agent designations and separate address or agent updates. A P.O. box alone is not an adequate registered office.
Indiana agent changes: forms and fees
Indiana provides an online Statement of Change of Registered Agent through INBiz. The current fee analysis identifies a $1.00 enhanced-access charge for a commercial registered-agent change and similar low transaction amounts for address changes, but the live total depends on entity and route. Use https://www.in.gov/sos/business/division-forms/business-forms/ and appoint a consenting replacement with an Indiana physical office.
Resignation, notice, and effective dates
Indiana provides a Statement of Resignation of Registered Agent and a separate commercial-agent termination/change workflow. The current analysis identifies a $1.00 enhanced-access component for resignation, with any statutory or paper amount shown in the live filing. Resignation does not appoint a successor; the entity must promptly maintain a new Indiana agent or risk failed service, notices, revocation, or dissolution.
Consequences of a missing agent or address
If an Indiana entity has no registered agent or the agent cannot be served, Indiana permits service by registered or certified mail to the principal-office address after the statutory conditions are met. That substitute route is not a safe harbor: the entity can miss process, suffer default, lose good standing, and face administrative dissolution or revocation. Maintaining a current agent and office remains mandatory.
Confirm the change reached the public record
Keep the accepted filing and confirm the agent or service address shown for the business. Arrange forwarding of legal notices during the change, and check which contact information will be public before supplying a home address.
